3.3 meetpiloot reserves the right to refuse a registration without stating reasons.
Article 4 - Performance of the Services
4.1 meetpiloot will endeavour to perform the Services properly in accordance with the Agreement. All Services are performed on the basis of an obligation to use reasonable efforts (inspanningsverbintenis) and expressly not on the basis of an obligation to achieve a result (resultaatsverbintenis).

4.4 meetpiloot is entitled to adjust the Services and the System from time to time in order to improve functionality, enhance security or comply with legal requirements. meetpiloot will inform the Licensee in good time of material changes.
Article 5 - Term, Renewal and Cancellation
5.1 The Agreement is entered into for the term chosen by the Licensee: monthly or yearly.
5.2 A monthly subscription is tacitly renewed each time for a period of one (1) month. The Licensee may cancel the subscription subject to a notice period of seven (7) calendar days before the end of the current monthly period.
5.3 A yearly subscription is not renewed automatically. At the end of the yearly period, the Licensee may activate a new yearly subscription. meetpiloot will inform the Licensee in good time before the end of the term.
5.4 Cancellation is made via the Dashboard or by email to info@meetpiloot.nl.
5.5 meetpiloot is entitled to terminate the Agreement with immediate effect if:
- a) the Licensee is in default with regard to any obligation under the Agreement and does not remedy this default within seven (7) days after a written notice of default;
- b) the Licensee is declared bankrupt, applies for a suspension of payments (surseance van betaling), or is otherwise unable to meet its financial obligations;
- c) the Licensee uses the System in a manner that is contrary to these General Terms and Conditions, the law or public order;
- d) the Licensee uses the System in a manner that causes damage to meetpiloot or to third parties.
5.6 Upon termination of the Agreement, for whatever reason, the Licensee's right to use the System lapses immediately. Fees already paid will not be refunded, except in the event of cancellation by meetpiloot without the Licensee being in default, in which case a pro rata refund of amounts paid in advance will be made.
Article 6 - Obligations of the Licensee
6.1 The Licensee is responsible for keeping its login details secret and shall ensure an adequate password policy. All use of the Account is at the expense and risk of the Licensee.
6.2 The Licensee warrants that all data it provides is correct, complete and up to date.
6.3 The Licensee is responsible for the accuracy of the price configuration, branding settings and other settings that it enters in the Dashboard.
6.4 The Licensee shall use the System exclusively for the purpose for which it is intended and in accordance with the Agreement and applicable laws and regulations.
6.5 The Licensee is not permitted to:
- a) use the System for unlawful or misleading activities;
- b) circumvent or attempt to circumvent the technical security of the System;
- c) decompile or reverse engineer the System or discover its source code;
- d) make the System or parts of it available to third parties, rent it out, sell it or sublicense it without the prior written consent of meetpiloot;
- e) embed the Configurator on websites other than the Licensee's own website without the prior written consent of meetpiloot;
- f) use the System in a manner that adversely affects the operation, availability or security of the System.
6.6 As the controller, the Licensee is responsible for compliance with the GDPR and other applicable privacy legislation with regard to the personal data of its End Users. The Licensee must itself provide its own privacy policy that informs its End Users about the data processing via the Configurator and the AR Measuring Function.
CHAPTER 3 - INTELLECTUAL PROPERTY AND CONFIDENTIALITY
Article 7 - Intellectual Property Rights
7.1 All intellectual property rights in the System, the Configurator, the AR Measuring Function, the software, the source code, the design, the documentation and all other materials developed or made available by meetpiloot are vested exclusively in meetpiloot or its licensors.
7.2 The Licensee obtains only the right of use referred to in article 1.9. This right of use is non-exclusive, non-transferable and non-sublicensable, unless agreed otherwise in writing.
7.3 The Licensee retains all rights to its own content, including its logo, brand name, branding materials and pricing information that it enters in the System. The Licensee grants meetpiloot a limited licence to use this content insofar as necessary for the performance of the Services (including displaying the Configurator and generating quotations).
7.4 The Licensee is not permitted to remove or alter any notices of intellectual property rights, brand names or trade names of meetpiloot.
Article 8 - Confidentiality
8.1 Both parties undertake to keep confidential all confidential information that they receive from each other in the context of the Agreement. Information is considered confidential if the other party has stated this or if this reasonably follows from the nature of the information.
8.2 The duty of confidentiality does not apply to information that:
- a) was already publicly available through no act of the receiving party;
- b) has been developed independently by the receiving party;
- c) must be disclosed by law or pursuant to a court decision.
8.3 The duty of confidentiality remains in force during the term of the Agreement and for two (2) years after its termination.
CHAPTER 4 - PAYMENT AND PRICES
Article 9 - Prices and Payment
9.1 The current prices for the Services are stated on the meetpiloot website and/or in the Dashboard. All prices stated are exclusive of VAT, unless expressly stated otherwise.
9.2 Payment is made in advance via the payment methods available in the System (including iDEAL and credit card), processed by the payment service provider Mollie B.V.
9.3 For a monthly subscription, the first payment is made upon activation of the subscription. Subsequent payments are collected automatically via the payment method authorised by the Licensee.
9.4 For a yearly subscription, the full annual amount is paid in a single payment upon activation.
9.5 If an automatic payment fails, meetpiloot will notify the Licensee of this. The Licensee must still make the payment within fourteen (14) days. If payment is not made, meetpiloot is entitled to suspend access to the System.
9.6 In the event of late payment, the Licensee is in default by operation of law. meetpiloot is then entitled to charge extrajudicial collection costs in accordance with the Dutch Extrajudicial Collection Costs (Compensation) Decree (Besluit vergoeding voor buitengerechtelijke incassokosten). meetpiloot never charges interest.
9.7 If a payment by the Licensee is reversed (a chargeback or a reversed direct debit), meetpiloot may pass on to the Licensee, on the next invoice, the costs that its payment service provider charges for each reversal. The same VAT applies to those costs as to the subscription.
9.8 meetpiloot is entitled to change the prices annually. Price changes will be communicated to the Licensee at least thirty (30) days before they take effect. If the Licensee does not agree with a price change, it has the right to cancel the Agreement with effect from the date on which the new prices take effect.
CHAPTER 5 - LIABILITY AND WARRANTIES
Article 10 - Liability
10.1 The liability of meetpiloot is limited to the amount that the Licensee actually paid to meetpiloot for the Services in the twelve (12) months preceding the event causing the damage, with a maximum of one thousand euros (EUR 1,000).
10.2 meetpiloot is in no event liable for:
- a) indirect damage, consequential damage, loss of profit, lost savings, loss of data, damage due to business interruption or reputational damage;
- b) damage resulting from incorrect or incomplete data or settings entered into the System by the Licensee, including incorrect price configurations;

- e) damage resulting from malfunctions in the System caused by circumstances beyond the sphere of influence of meetpiloot, including malfunctions at third parties, such as hosting and payment service providers;
- f) damage resulting from unauthorised access to the Licensee's Account.
10.3 The Licensee is itself responsible for verifying all quotations generated by the System before providing them to End Users. meetpiloot is not liable for incorrect quotations.
10.4 The limitations of liability set out in this article do not apply if the damage is the result of intent or deliberate recklessness on the part of meetpiloot.
10.5 The Licensee may itself connect an AI assistant to the System, such as Claude or ChatGPT. The Licensee chooses the provider of that assistant, and meetpiloot is not responsible or liable for what the assistant does. All actions via such an integration are deemed to be actions of the Licensee and are at its expense and risk, as is other use of its Account (article 6.1).
Article 11 - Warranties and Indemnification
11.1 meetpiloot warrants that the System functions substantially in accordance with the description on the website. meetpiloot does not warrant that the System will function without errors or without interruption.
11.2 AR measurements are indicative and may deviate from the actual dimensions. meetpiloot does not guarantee any specific accuracy of AR measurements. The Licensee must inform its End Users of this.
11.3 The Licensee indemnifies meetpiloot against all claims of third parties (including End Users) relating to:
- a) the use of the System by the Licensee;
- b) the content that the Licensee publishes via the System;
- c) a breach of the GDPR or other privacy legislation by the Licensee with regard to personal data of End Users;
- d) incorrect quotations or price quotations resulting from configurations or prices entered by the Licensee.
Article 12 - Force Majeure
12.1 meetpiloot is not obliged to fulfil any obligation under the Agreement in the event of force majeure. Force majeure includes in any event: disruptions to the internet connection, disruptions at hosting parties or cloud providers, power failures, DDoS attacks, cyberattacks, government measures, epidemics or pandemics, natural disasters, strikes, and any other circumstance over which meetpiloot cannot reasonably exercise any influence.
12.2 If the force majeure situation lasts longer than sixty (60) days, both parties have the right to rescind the Agreement in writing. In that case, a pro rata refund of amounts paid in advance will be made.
CHAPTER 6 - DATA PROTECTION
Article 13 - Privacy and Data Processing
13.1 meetpiloot processes personal data in accordance with the General Data Protection Regulation (GDPR) and the Dutch GDPR Implementation Act (Uitvoeringswet AVG, UAVG). The privacy policy of meetpiloot is available at www.meetpiloot.nl/privacy.
13.2 Insofar as meetpiloot, in performing the Services, processes personal data on behalf of the Licensee (in particular the data of End Users), meetpiloot acts as a processor within the meaning of the GDPR. The Licensee is the controller.

14.6 Obligations of meetpiloot as processor: meetpiloot undertakes to:
- a) process personal data only on the basis of written instructions from the Licensee, unless a legal obligation requires otherwise;
